TERMS OF USE AGREEMENT

Your access to the Website is conditional upon your acceptance and compliance with the terms, conditions, notices and disclaimers contained in this document and elsewhere on the Website (known collectively as "Terms of Use" or "Membership Agrement"). Your use of, and/or access to, the Website constitutes your agreement to the Terms of Use. German Village Art League reserves the right to amend the Terms of Use at any time.

• AMF- All Member Feedback. German Village Art League artists are asked to bring one piece of art for peer conversations and feedback. This is an open forum among GVAL members.

• Personal Artist Page on www.gvartleague.com.  Each artist maintains their personal page after reading Terms of Use.

 

Copyright and Trademark Information

By submitting to German Village Art League any images of artwork on the Site, you warrant and represent that you own all rights, including but not limited to all U.S. copyright rights, in and to the Images. You grant to German Village Art League the worldwide, perpetual, irrevocable, royalty-free, sublicensable right and license to reproduce and prepare derivative works of the Images for the purpose of advertising the Images for sale on the Site. To the extent that you do not own all rights in and to the Images or that German Village Art League's use of any of the Images as permitted under this Agreement infringes or otherwise violates the rights of any third party, you agree to indemnify and hold German Village Art League harmless from any claims or demands, including attorneys’ fees and costs, incurred by German Village Art League with respect thereto. All images on the Site are either owned or licensed by German Village Art League and may not be reproduced or used in any manner without the express written permission of German Village Art League's and, if appropriate, the relevant artist. All physical artwork is owned solely by the individual artists represented here and are subject to United States and International copyright laws.

 

Image Requirements

1. Each image should be no larger than 280kb.
2. Each image should be 72 ppi.
3. Each image should not be offensive or unlawful in any nature.

 
Compliance with Laws

Member assumes all knowledge of applicable law and is responsible for compliance with any such laws. Member may not use the Site in any way that violates applicable state, federal, or international laws, regulations or other government requirements. Member further agrees not to transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national, or international law or regulation.

 

Disclaimer and limitation of liability

Except as provided for by the Non-excludable Rights: a) all Content is provided "as is" and without warranties of any kind, either express or implied, b) German Village Art League and its suppliers expressly disclaim all warranties of any kind including but not limited to implied warranties of merchantability and fitness for a particular purpose, c) German Village Art League does not warrant that the functions contained in any Content or your access to the Website will be error-free, that any defects will be corrected or that the Website or the server which stores and transmits Content to you are free of viruses or any other harmful components.

Under no circumstances (including but not limited to any act or omission on the part of German Village Art League) will be liable for any indirect, incidental, special and/or consequential damages or loss of profits whatsoever which result from any use or access of, or any inability to use or access, the Website or any Content. You expressly acknowledge and agree that German Village art League does not exert control over users of the Website and is not liable either for their opinions or their behaviour including any information and/or advice and any defamatory statements or offensive conduct.

 

Limitation of Liability

THE GERMAN VILLAGE ART LEAGUE, ITS AFFILIATES, TRUSTEES, DIRECTORS, OFFICERS, AND OTHER AGENTS AND REPRESENTATIVES SHALL HAVE NO LIABILITY FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, CONSEQUENTIAL, COMPENSATORY, SPECIAL, PUNITIVE, OR INCIDENTAL DAMAGES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING OUT OF OR RELATING TO THE USE OF THIS SITE. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.

 

Disclaimer Regarding Accuracy of Vendor Information

Specifications about and other information regarding artwork for sale on the Site have been provided by individual sellers and is not verified by German Village art League. While German Village art League makes every effort to ensure that the information on the Site is accurate, we can make no representations or warranties as to the accuracy or reliability of any information provided on the Site. German Village art League makes no warranties or representations whatsoever with regard to any product provided or offered by any seller, and you acknowledge that any reliance on representations and warranties provided by any Vendor shall be at your own risk.

The Website contains hyperlinks and other pointers to Internet websites operated by third parties. These linked websites are not under the control of German Village Art League, and is not responsible for the contents of any linked web or any hyperlink contained in a linked website. German Village Art League provides these hyperlinks to you as a convenience only, and the inclusion of any link does not imply any endorsement of the linked website by German Village Art League or its Affiliates. You link to any such website at your own risk.

 

Termination of Terms of Use

The Terms of Use are effective until terminated by German Village Art League may terminate this agreement and your access to the Website at any time without notice. In the event of termination, you are no longer authorised to access the Website, but all restrictions imposed on you, licenses granted by you and all German village Art League disclaimers and limitations of liability set out in the Terms of Use will survive.

 

Indemnification

Member agrees to indemnify and hold German Village Art League, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including attorneys’ fees and costs, made by any third party due to or arising out of Member’s use of the Site, the violation of this Agreement, or violation of any law by Member.

 

Modifications and Interruption to Site

German Village Art League reserves the right to modify or discontinue the Site with or without notice to the Member. German Village Art League shall not be liable to Member or any third party should German Village Art League exercise its right to modify or discontinue the Site. Member acknowledges and accepts that German Village Art League does not guarantee continuous, uninterrupted or secure access to the Site, and operation of the Site may be interfered with or adversely affected by numerous factors or circumstances outside of German Village Art League’s control.
